End-User License Agreement

Ops Portal — Client Instance · v1.0

Public Document — Governed by the Client Engagement Letter

This End-User License Agreement ("Agreement") governs use of the operations portal application ("the Application") built by Volundai for Roofers Home & Decor Pte Ltd ("the Client"), including its integration with the Client's QuickBooks Online account. It is published to satisfy Intuit's requirement that any application connecting to QuickBooks Online publish a public End-User License Agreement.

1. Relationship to the Engagement Letter

This Agreement supplements, and does not replace, the signed engagement letter between Volundai and the Client dated 21 July 2026 ("the Engagement Letter"). Where any term of this Agreement conflicts with the Engagement Letter, the Engagement Letter governs. This Agreement is not intended to create rights or obligations beyond, or inconsistent with, what the Engagement Letter already establishes.

2. What the Application Is

The Application is a private, single-client operations tool built specifically for the Client. It is not offered, licensed, or made available to any other party, and is not sold, rented, or distributed as a general commercial product.

3. Ownership

Ownership of the Application follows the intellectual property terms set out in the Engagement Letter: the Client owns the Application built for them. Volundai retains ownership of its own underlying methodology, reusable template code, and tools that predate or are independent of this engagement, consistent with the Engagement Letter's IP provisions.

4. Permitted Use

The Application may be used by the Client's authorised staff for the Client's own internal business operations, including reading data from, and — where separately agreed — writing data to, the Client's own QuickBooks Online account. The Client is responsible for ensuring that only staff with appropriate administrative authority connect, disconnect, or reconnect the QuickBooks integration.

5. Warranty and Liability

The Application is provided on the basis of, and subject to, the disclaimers and limitation of liability set out in the Engagement Letter, including its AI output disclaimer where applicable. Nothing in this Agreement expands Volundai's liability beyond what the Engagement Letter states.

6. Data Handling

Use of the Application, including its connection to QuickBooks Online, is governed by Volundai's Privacy Policy for this Application, and by the data handling terms incorporated into the Engagement Letter.

7. Term and Termination

This Agreement remains in effect for as long as the Client uses the Application. Either party may raise termination in accordance with the termination provisions of the Engagement Letter.

8. Governing Law

This Agreement is governed by the laws of Singapore, consistent with the Engagement Letter.
